A virtual data room (VDR) is a secure online space where a business shares confidential documents with outside parties during a transaction. Instead of emailing files or opening a shared drive, the seller or company uploads everything to one controlled room, decides exactly who can see each folder, and tracks every view, download and question.
In a UK deal that might mean a buyer's solicitors reviewing contracts and leases, accountants testing three years of management accounts, or investors checking the cap table and Companies House filings before an EIS round. Each party sees only what they need, and the seller keeps a full record of what was disclosed, which later supports the disclosure letter.
